Terms and Conditions

Please read these terms and conditions (“Terms”) carefully before accessing or using the Platform (defined below). These Terms, along with the Privacy Policy published on the Platform and any other applicable policies, constitute the contract between the users of this Platform, RudrabizZ Pvt. Ltd., and its affiliates providing services through the Platform (collectively, “Agreement”). By using the Platform, users agree to be bound by this Agreement as posted on the Platform from time to time.

These Terms are an electronic record under the Information Technology Act, 2000, and will not require any physical, electronic, or digital signature by the Company or Users.

1. ABOUT THE TERMS

1.1 What is RudrabizZ and who operates it?

  • RudrabizZ is an application and/or website (“Platform”) that provides an online marketplace where registered suppliers (“Suppliers”) can offer products to registered users, including resellers (“Users”).
  • The Platform is operated by RudrabizZ Pvt. Ltd. (“Company”). The Company and its affiliates providing services through the Platform shall collectively be referred to as “RudrabizZ.”
  • The Company’s role is limited to managing the Platform, marketing, payment facilitation, order management, and other incidental services to enable transactions between Suppliers and Users. These Terms apply to all Services availed through the Platform, whether offered by the Company or its affiliates.

1.2 Applicability of Terms

  • These Terms apply to any person who installs, downloads, or accesses any part of the Platform or utilizes the Services, collectively referred to as “Users.”
  • The Agreement is effective on the date the Platform is accessed/downloaded or when updated Terms are posted.

1.3 Modification of Terms

  • Users may review the most current version of the Agreement at any time on the Platform. The Company reserves the right to update, change, or replace any part of the Agreement by posting updates on the Platform.
  • Continued use of the Platform after any changes constitutes acceptance of those changes.

1.4 If Terms Are Unacceptable

  • If a User does not agree with these Terms, they should refrain from using the Platform. Use of the Services constitutes agreement to these Terms as updated.

2. ACCOUNT REGISTRATION, SUSPENSION, AND TERMINATION

2.1 Account Requirement

  • Users must register to access or use the Platform. Membership is limited to buying or selling products and is not transferable.

2.2 Eligibility

  • Users must be legally capable of forming contracts under Indian law and at least 18 years old.
  • The Company may terminate accounts that do not meet eligibility requirements.

2.3 Registration Requirements

  • Users must provide a valid phone number and accurate information during registration.
  • Users consent to be contacted by RudrabizZ via phone, SMS, or other communication methods, which can be opted out of through provided channels.
  • Users are responsible for keeping registration information accurate and up-to-date.

2.4 Suspension or Termination

  • The Company may suspend or terminate accounts or access to the Platform without notice if:
    • Information provided is inaccurate, incomplete, or outdated.
    • Users engage in fraudulent, unlawful, or harmful activities.
    • Users violate these Terms or applicable law.
  • The Company may withhold payments or impose penalties in cases of alleged fraud or breach of Terms.

2.5 User Obligations

  • Users are responsible for all activities on their accounts.
  • Users must maintain the confidentiality of passwords and account credentials.
  • Users must immediately notify the Company of any unauthorized account use or security breach.
  • Users must exit from their accounts at the end of each session.
  • Users acknowledge that all rights to the account remain with the Company, and account ownership does not confer any other rights to the User.

3. PLACING ORDERS AND FINANCIAL TERMS

3.1 How does order placement work on the Platform?

  • The Platform allows Users to place orders for products listed by Suppliers, and RudrabizZ facilitates such order placements subject to this Agreement.
  • Upon receipt of an order, RudrabizZ will electronically confirm the order to both the Supplier and the User. The Platform may also inform the User about product availability, price changes, or other updates as provided by the Supplier. The Supplier’s confirmation shall be treated as final.
  • RudrabizZ does not own, sell, or control any products listed on the Platform and acts solely as a marketplace facilitating transactions. Users are responsible for providing current, complete, and accurate purchase and account information.
  • Fulfillment of orders to end consumers by Resellers or Users is the responsibility of the Reseller/User. Any services provided by the Platform in connection with such orders are provided only as a service provider, and RudrabizZ has no privity of contract with the end consumer.

3.2 Commercial Terms on the Platform

  • All commercial terms of sale (e.g., price, delivery, warranties) are agreed upon directly between Suppliers and Users. RudrabizZ does not control, advise, or participate in the negotiation of such terms.
  • Similarly, in cases where Resellers deliver products to end consumers, RudrabizZ acts only as a service provider and does not influence the commercial terms between the Reseller and end consumer.
  • Policies related to returns, exchanges, penalties, refunds, or cancellations may be updated on the Platform from time to time at the Company’s discretion.
  • RudrabizZ may withhold certain benefits (e.g., COD payments or refunds) at its sole discretion due to internal or external factors.

3.3 Payments and Settlement

  • Users acknowledge that RudrabizZ may act as a payment facilitator on behalf of Suppliers or Resellers but is not a banking or financial institution. The Platform provides no fiduciary or trustee role with respect to the transactions.
  • Users may be required to provide personal and payment information to RudrabizZ or third-party payment processors. Users are responsible for reviewing and complying with any third-party terms and privacy policies. Resellers providing end consumer information must ensure they have the necessary consents as required under applicable law.
  • RudrabizZ only collects payments on behalf of Suppliers/Resellers. All applicable taxes and levies are the responsibility of the Supplier or Reseller, and RudrabizZ does not assume any liability for tax correctness or compliance.
  • The transaction is bilateral between Suppliers & Users or Resellers & end consumers. RudrabizZ is not responsible for charging or depositing taxes.

3.4 Bank Account and Refund Policies

  • Users may provide bank account details to receive refunds, margins, referrals, or other payments. Conditions for updating bank account details include:
    1. Users cannot update bank details if pending payments exist.
    2. Users cannot update the account if the new account is linked to another Platform account.
    3. Users may attempt updates up to three times per day; after three failed attempts, a 24-hour wait is required.
  • Users exceeding update limits or using the same bank account across multiple accounts must contact customer support. RudrabizZ may modify these rules at its discretion.
  • RudrabizZ reserves the right to block COD payments at its discretion for reasons including high-value products or other internal/external factors.

3.5 Charges for Services

  • Services provided on the Platform may require charges, determined solely by RudrabizZ. Charges applicable at the time of order will apply.
  • Additional chargeable services (e.g., premium returns, COD handling fees) may be introduced at RudrabizZ’s discretion.

3.6 GST and Tax Compliance

  • Users are responsible for complying with all applicable tax laws, including GST. RudrabizZ is not liable for any User tax obligations. Users should seek independent tax advice regarding their business or transactions on the Platform.
  • Suppliers registered as Composition Taxpayers or Unregistered Applicants with a GST number must comply with restrictions, including:
    • No inter-state transactions if outside their registered state.
    • Aggregate turnover limits as specified under GST laws.
    • Promptly updating registration and ceasing transactions if turnover exceeds thresholds.
    • RudrabizZ may block transactions for non-compliance.
  • Suppliers without valid GST registration are not permitted to transact through the Platform.

3.6 Offers, Discounts, and Loyalty Program

3.6(A) Platform Offers and Benefits

  1. All product discounts and promotional offers displayed on the Platform are either provided by the Suppliers (“Supplier Offers”) or by RudrabizZ through its own promotional campaigns (“RudrabizZ Offers”).
  2. RudrabizZ Offers are subject to terms determined solely by RudrabizZ and may vary based on customer behavior, transaction volume, location, time, or other factors.
  3. RudrabizZ reserves the right to limit, amend, discontinue, cancel, or reject any offers, discounts, or promotions at any time without prior notice.
  4. Timing, dates, number, and category of products available under offers may be varied at the Company’s discretion.
  5. Offers may be limited to specific inventory and availability, and may not apply to similar products not covered under the offer. Offers operate on a first-come, first-served basis.
  6. RudrabizZ may cancel the option to return or exchange any product purchased under offers or discounts.
  7. Offers may not be valid in conjunction with other promotional offers unless explicitly allowed.
  8. Offers cannot be exchanged for cash and must be redeemed according to the specific terms.
  9. Cart-level promotions (e.g., first-order or reactivation discounts) may be divided among multiple products in a transaction at RudrabizZ’s discretion.
  10. If a product under promotion is cancelled or returned, the refund will be limited to the amount paid by the User for that product, and any applied offer, promotion, or discount will be forfeited.
  11. RudrabizZ and/or the Supplier disclaim any liability related to offers, discounts, or promotions on the Platform.

3.6(B) Supplier Offers

  1. Supplier Offers are subject to terms determined by the Supplier and may vary based on customer behavior, transaction volume, location, time, or other factors.
  2. RudrabizZ reserves the right to limit, amend, discontinue, cancel, or reject any Supplier Offer at any time without prior notice.
  3. Timing, dates, number, and category of products available under Supplier Offers may be varied at the Company’s discretion.
  4. Offers may be limited to specific inventory and availability and operate on a first-come, first-served basis.
  5. RudrabizZ may cancel the option to return or exchange any product purchased under Supplier Offers.
  6. Offers may not be combined with other promotions unless explicitly permitted.
  7. Offers cannot be exchanged for cash and must be redeemed according to the specific terms.
  8. Cart-level promotions may be applied proportionately across multiple products at RudrabizZ’s discretion.
  9. Refunds for products under Supplier Offers will be limited to the amount paid, and any applied discount will be forfeited upon return or cancellation.
  10. RudrabizZ and/or the Supplier disclaim any liability related to Supplier Offers.

3.6(C) RudrabizZ Loyalty Program

  1. Eligible Users may earn virtual coins (“RudrabizZ Coins”) through purchases of specified products, participation in contests or games, or other activities as determined by RudrabizZ.
  2. The specific products eligible for earning RudrabizZ Coins (“Specified Products”) will be indicated on the Platform.
  3. The amount of RudrabizZ Coins earned may vary by product, User, or other factors, and will be pre-disclosed on the Platform.
  4. RudrabizZ Coins are credited only after the return window for the respective products has expired and provided that no product in the order is returned.
  5. RudrabizZ Coins may be redeemed for discounts on designated “Redeemable Products” according to a Redemption Cap, which limits the total discount applicable per transaction.
  6. The Redemption Cap may vary by User or product and will be pre-disclosed before redemption.
  7. RudrabizZ Coins expire after a specified Lapse Period, as disclosed on the Platform, and expired Coins cannot be redeemed.
  8. If a product purchased using RudrabizZ Coins is returned or cancelled, the corresponding Coins will be reinstated, subject to the same Lapse Period as the original Coins.
  9. RudrabizZ Coins are non-transferable, cannot be converted into cash, and cannot be purchased with cash or kind.
  10. Participation in the Loyalty Program may be suspended or disqualified for fraudulent activity, violation of the Agreement, or breach of applicable laws.
  11. RudrabizZ reserves the right to modify, suspend, or terminate the Loyalty Program or any feature thereof at any time, without notice or liability.
  12. RudrabizZ Coins are a benefit for Eligible Users only and do not constitute a Prepaid Payment Instrument (PPI) or wallet under Indian law.
  13. Participation in the Loyalty Program is subject to compliance with applicable laws, and RudrabizZ may restrict participation to a select group of Eligible Users.

9. INTELLECTUAL PROPERTY (IP) AND IP INFRINGEMENT

9.1 Use of Platform Content and Trademarks

  1. Users may not use any trademark, service mark, or logo of any third party without prior written consent from the respective owner.
  2. The “RudrabizZ” name, logos, and related icons, whether registered or unregistered, are trademarks of RudrabizZ and are protected under applicable copyright, trademark, and intellectual property laws. Unauthorized use, copying, modification, or publication of these marks is strictly prohibited.
  3. Users must not modify or separate illustrations, photographs, videos, audio sequences, or graphics from any accompanying text, nor use them for commercial purposes without a license from RudrabizZ.
  4. Platform software may include security features; users must not attempt to override, disable, or interfere with these features.

9.2 Handling of IP Infringement

  1. Any intellectual property rights of Users or Suppliers remain their sole property; RudrabizZ has no claim over such rights.
  2. RudrabizZ may, at its discretion, remove any content or listings on the Platform that it reasonably believes are unlawful, infringing, or inappropriate.
  3. RudrabizZ may suspend or terminate a User account in case of IP violations; the Company is not liable for any resulting damages.
  4. Users acknowledge that RudrabizZ cannot verify third-party rights and is not an arbitrator of IP disputes. Users are encouraged to notify RudrabizZ of any suspected infringement.
  5. Removing a listing does not indicate endorsement of any claim, and not removing a listing does not indicate the listing is non-infringing.

10. DISCLAIMER AND LIABILITIES

10.1 General Disclaimer

  1. RudrabizZ is not liable for any special, incidental, indirect, consequential, or punitive damages arising from the use of the Platform, whether foreseeable or not.
  2. Users are solely responsible for data loss or damages arising from downloading content from the Platform. No guidance from RudrabizZ constitutes a warranty unless explicitly stated.
  3. Suppliers are responsible for product information accuracy. Users are responsible for safe and legal use of purchased products.

10.2 Advertisements on Platform

  1. Advertisements are for informational purposes; RudrabizZ does not guarantee accuracy, reliability, or suitability.
  2. RudrabizZ does not control advertisers or their content and is not liable for any loss or damages arising from interaction with advertisers.
  3. Transactions with advertisers, including payment, delivery, and other terms, are solely between the User and the advertiser.
  4. Links to third-party websites are provided for convenience; Users access them at their own risk.

10.3 Other Media Advertisements

  1. Product images in other media (print, digital, etc.) are illustrative and may differ from actual products.
  2. Product deals and discounts mentioned in other media are offered by sellers and not by RudrabizZ unless explicitly stated.
  3. Prices in advertisements are indicative; actual prices may vary.
  4. Offers and discounts may differ based on User location, platform usage, and other factors.

10.4 Force Majeure

  1. RudrabizZ is not liable for damages arising from force majeure events, including natural disasters, epidemics, labor disputes, government actions, accidents, or network failures.
  2. RudrabizZ may suspend or limit access to the Platform during such events.

10.5 User Liability

Users shall indemnify and hold RudrabizZ and its affiliates harmless from any claims, damages, or losses arising from:

  • Breach of the Agreement,
  • Violation of third-party rights (including IP rights), or
  • Violation of applicable laws while using the Platform.

11.3 Notice to Users

Notices are effective when sent to the User’s registered email, postal address, or when published on the Platform.

11.4 Safety from Fraudulent Calls

RudrabizZ representatives will never ask for passwords, PINs, CVVs, or money for offers. Users should verify communication via official emails.

11.5 Confidentiality of Calls

Calls with RudrabizZ may be recorded for quality and training purposes but are confidential.

12. MISCELLANEOUS PROVISIONS

  1. This Agreement is governed by Indian law, with courts at Nagpur having jurisdiction.
  2. RudrabizZ may assign its obligations under this Agreement to any entity.
  3. Failure to enforce any right does not constitute waiver.
  4. Users accessing the Platform from outside India do so at their own risk and are responsible for local law compliance.
  5. RudrabizZ may introduce, modify, or discontinue Platform features or Services, and may charge for previously free Services, without prior notice.
